- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIAL ON THE SITE;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our warranties are limited to the greatest extent permitted by applicable law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREEN LANTERN PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO GREEN LANTERN PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
These limitations apply regardless of the legal theory on which the claim is based, whether contract, tort, strict liability, or otherwise. The foregoing limitations shall apply to the fullest extent permitted by law in the applicable jurisdiction.
12. Indemnification
You agree to defend, indemnify, and hold harmless Green Lantern Pizza and its respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Site or Services;
- Your violation of these Terms;
- Your violation of any applicable federal, state, or local law or regulation;
- Your violation of any third-party right, including any intellectual property right, publicity right, or privacy right;
- Any User Content you submit, post, or transmit through the Site;
- Any fraudulent or unauthorized transactions made through your account;
- Any dispute you have with another user or third party in connection with the Services.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claims.
13. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to its conflict of law provisions. Any legal action, suit, or proceeding that is not subject to mandatory arbitration as described in Section 14 shall be brought exclusively in the appropriate federal or state courts located within the United States, and you hereby irrevocably submit to the personal jurisdiction of such courts for that purpose.
These Terms shall also be subject to applicable federal consumer protection laws enforced by the Federal Trade Commission (FTC) under the FTC Act (15 U.S.C. § 41 et seq.), as well as any applicable state consumer protection statutes. To the extent that California law applies, these Terms shall also be interpreted in accordance with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), and the California Unfair Competition Law (Business and Professions Code § 17200 et seq.), as applicable.
14. Dispute Resolution and Arbitration
14.1 Mandatory Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for claims that may be brought in a small claims court of competent jurisdiction, you and Green Lantern Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Site or Services, or any order placed with us — including questions about the existence, validity, or termination of these Terms — shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org.
14.2 Class Action Waiver
YOU AND GREEN LANTERN PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. Unless both you and Green Lantern Pizza agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
14.3 Arbitration Procedures
The arbitration shall be conducted in English and shall take place in the United States at a mutually agreed location, or via telephone or videoconference where appropriate. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines that the award is warranted by law. Filing fees shall be governed by the AAA's fee schedule.
14.4 Opt-Out
You may opt out of mandatory arbitration by sending a written notice to us at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, any dispute shall be subject to the exclusive jurisdiction of the courts described in Section 13.
15. Term and Termination
These Terms shall remain in full force and effect for as long as you use the Site or Services. Green Lantern Pizza reserves the right to terminate or suspend your access to the Site and Services, with or without cause and with or without notice, at any time and for any reason, including but not limited to a breach of these Terms.
Upon termination: (a) all licenses and rights granted to you under these Terms shall immediately cease; (b) you must immediately stop using the Site and Services; (c) any provisions of these Terms that by their nature should survive termination — including Sections 7, 9, 10, 11, 12, 13, 14, and 17 — shall continue to apply.

16. Changes to Terms
Green Lantern Pizza reserves the right to modify, update, or revise these Terms at any time in our sole discretion. A waiver of any breach or default under these Terms shall not constitute a waiver of any subsequent breach or default. No waiver shall be effective unless made in writing and signed by an authorized representative of Green Lantern Pizza.
19. Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and Green Lantern Pizza with respect to your use of the Site and Services and supersede all prior or contemporaneous agreements, representations, warranties, understandings, or negotiations, whether written or oral, relating to the subject matter hereof.
